JTC Law advises Volution on the launch of its $100m fund to tackle the global productivity challenge

JTC Law are delighted to have advised Volution on the launch of its $100m Jersey private fund to tackle the global productivity challenge.

Volution, a leading UK-based venture capital firm investing in high-growth FinTech, AI and SaaS businesses tackling productivity challenges in capital markets and enterprise, has launched a new $100 million fund. The fund has been launched in partnership with leading Japanese venture capital investors, SBI Investment Co., Ltd. through a Co-GP arrangement that leverages the strengths of both managers. This is Volution’s second dedicated fund following the success of the first, which delivered robust revenue growth and multiple exits, backing standout businesses like Cognism, Signal AI, Flagstone and Zopa Bank.

The launch of the new fund continues to show why the UK remains a fintech giant and why Jersey remains the domicile of choice for venture capital.

Leanne Wallser, Head of Investment Funds and Corporate at JTC Law, led on the Jersey legal aspects of the fund launch, working alongside Volution Ventures’ ongoing UK legal counsel, Goodwin Procter LLP, with Ben Yeoh (lead partner) and Michael Grainger (investment and corporate work). JTC’s Jersey fund administration team provided operational support during the fund launch and will continue to provide a full suite of fund services throughout the venture.

Leanne Wallser commented:

“After being introduced to Ed Bardos in Berlin, we were thrilled to be appointed to advise Volution Ventures and SBI on the launch of the SBI Volution Venture Fund LP. Jersey continues to stand out as a leading jurisdiction for venture capital with its flexible and cost-effective structures which are ideal for innovative managers with bold growth ambitions.

“Jersey is particularly effective for this type of co-GP model and evolving joint venture arrangements which we see increased demand for, offering the adaptability needed to scale the fund size and marketing needs over time. Volution Ventures has gained impressive recognition as an emerging manager and a trailblazer in ESG, and it was a real privilege to support such a forward-thinking team on this exciting new chapter.”

Ed Bardos, Partner & COO at Volution Ventures, added:

“Volution was delighted to partner with Leanne Wallser and the team at JTC Law. Launching a fund is a complex undertaking with many stakeholders, and their technical expertise, clear commercial guidance and close coordination with UK counsel and the wider JTC group were instrumental in ensuring a smooth and successful launch.”
