ROLE OVERVIEW
PURPOSE OF JOB
The role holder will be required to administer the corporate and legal requirements of a portfolio of Private Equity and Real Estate clients, under the supervision of a Line Manager.
MAIN RESPONSIBILITIES AND DUTIES
- Assist in the management of the day-to-day corporate life of client entities.
- Draft, review and coordinate legal and corporate documentation (contracts, agreements, resolutions).
- Prepare board and shareholder meeting documentation, including minutes and written resolutions.
- Ensure compliance with Luxembourg corporate law and regulatory requirements (including CSSF where applicable).
- Maintain statutory records and ensure proper corporate governance at all times.
- Handle filings and registrations with the Luxembourg Trade and Companies Register (RCS).
- Coordinate notarial processes, including notarisation, apostille and legalisation where required.
- Prepare and maintain shareholder registers and corporate registers.
- Organise execution of documents (circulation, signature follow-up, certification where applicable).
- Ensure proper archiving (electronic and physical) of corporate documentation.
- Follow up with clients and third parties to obtain required documentation.
- Act as main point of contact with notaries, lawyers, banks, auditors, authorities and clients.
- Liaise internally with accounting, compliance and other departments.
- Provide legal and corporate support to accounting teams.
- Ensure adherence to AML/KYC and regulatory requirements.
- Maintain up-to-date client files and ensure compliance with statutory obligations.
- Follow internal policies, procedures and governance frameworks.
- Manage internal corporate procedures and ensure their consistent application.
- Monitor timelines and ensure timely execution of all corporate actions.
- Contribute to internal decision-making documentation and processes.
ESSENTIAL REQUIREMENTS
- At least 3 years proven experience in a similar position.
- Able to fluently communicate in English, in writing and verbally; French and German knowledge are an asset.
- Demonstrate a clear understanding of the contractual and statutory obligations related to Luxembourg Law.
- Able to take responsibility, prioritize, use initiative and to get on with others as a team player.
- Demonstrate motivation, enthusiastic approach, good organizational capabilities and excellent client service attitude and proactivity.
