ROLE OVERVIEW
PURPOSE OF JOB
The company lawyer shall have a dedicated role in the first line of operations and the management of client relations within JTC Institutional Services Netherlands B.V. (“JTC”) to ensure the fulfilment of the relevant Dutch corporate law requirements as well as compliance with applicable internal and external rules and regulations for clients and client entities related to AML (Anti-Money Laundering) regulation (Wtt, Wwft) and Sanction law.
The day-to-day activities include ensuring that client requests and corporate secretarial needs are efficiently met. A company lawyer is expected to maintain client relationships and coordinate the correspondence between clients, advisors and the various internal departments within JTC. You are expected to ensure regulatory required transaction monitoring is properly performed so as to ensure that potential integrity risks are identified and managed and, that clients are served in accordance with applicable regulations and JTC’s internal policies.
In this position you will work closely together with the Finance, CDD and Compliance team on the re-acceptance process from initial prospect onboarding to the maintenance of the client portfolio during the client relationship. You are the first point of contact for the client files and know how to achieve the client’s objectives in a cooperative manner. You are also involved, in collaboration with the other JTC teams, in improving internal policies and you keep track of current legal developments, such as in the field of social propriety, international tax matters and EU anti-money laundering regulations.
MAIN RESPONSIBILITIES AND DUTIES
You are the first point of contact for client relationships and as such are responsible for successfully collaborating with JTC internal teams, counterparties, advisors and various representatives of the Client group. It is expected that you will be able to manage a basic client portfolio and demonstrate a basic understanding of Dutch corporate law.
COMPANY LAWYER
- Partner with business development team and CDD and Compliance team to ensure that prospective projects are fully understood and that the on boarding activities from all teams are coordinated to deliver.
- Working with various internal teams to effectively manage client relationships and requests including interaction and coordination on the involvement of advisors and finance teams.
- Ensure JTC agreements are finalised and signed within the agreed deadline.
- Remain up to date on new laws and regulations relevant for Dutch Corporate Law requirements that potentially affect the business and client structures within JTC’s portfolio.
- Keep abreast of developments relevant to ensuring sound operations.
- Help to develop and continuously improve legal policies and involvement in projects for the company to implement new regulations.
ESSENTIAL REQUIREMENTS
- Master’s degree in law.
- Trust industry experience is an advantage.
- Fluent English speaking and written, Dutch is an advantage.
- Pro-active.
